Pursuant to the terms of the Merger, each share of TEG Common Stock outstanding immediately prior to the consummation of the Merger will be converted into the right to receive 1.128 shares of WEC Common Stock, plus $18.58 cash. Also, subject to approval by Wisconsin Energy's shareholders, Wisconsin Energy Corporation will change its name to WEC Energy Group, Inc.
