Notes: June 1, 2016 -- Waste Connections, Inc. (WCN) voted on Thursday, May 26, 2016, and approved a proposed Merger between WCN and Water Merger Sub LLC, a direct wholly owned subsidiary of Progressive Waste Solutions Ltd. ("BIN"). Pursuant to the terms of the Merger, each share of WCN Common Stock outstanding immediately prior to the consummation of the Merger will be converted into the right to receive 2.076843 shares of BIN Common Stock. The Merger became effective prior to the open of business today, Wednesday, June 1, 2016. Also on May 26, 2016, WCN Shareholders voted and approved a share consolidation to take place immediately following the effective time of the merger. The consolidation will convert every 2.076843 BIN Common Shares to 1.0 (one) BIN Common Share. This consolidation includes shares held by former WCN stockholders. As a result of the consolidation, WCN shareholders will receive 1.0 (one) post-consolidation BIN Share for each WCN share held. Following the merger and share consolidation, the combined company will be renamed (New) Waste Connections, Inc., and its shares will trade on the NYSE under trading symbol WCN. As of the close of trading on May 31, 2016, shares of Waste Connections common stock will cease trading on the NYSE under the symbol WCN and shares of Progressive will cease trading on the NYSE and on the Toronto Stock Exchange under the symbol BIN. Immediately following the completion of the merger, the consolidation and the name change on June 1, 2016, common shares of New Waste Connections (formerly Progressive Waste Solutions Ltd.) are expected to commence trading on the NYSE and on the Toronto Stock Exchange under the symbol WCN.
