Notes: March 10, 2020 -- McKesson Corporation (the “Company”) announced that it had consummated its previously announced separation of the Company’s interest in Change Healthcare LLC (“Change Healthcare”). The separation was effected through the split-off of PF2 SpinCo, Inc. (“SpinCo”), a wholly owned subsidiary of the Company that held all of the Company’s interest in Change Healthcare, to the Company’s stockholders through an exchange offer (the “Exchange Offer”), followed by the merger of SpinCo with and into Change Healthcare Inc. (“Change”), with Change surviving the merger. _________________ March 5, 2020 -- McKesson Corporation (NYSE:MCK) today announced the final exchange ratio of 11.4086-for-one in connection with its previously announced offer to its stockholders to exchange their shares of McKesson common stock for shares of PF2 SpinCo, Inc. (“SpinCo”) common stock. The exchange offer to split-off SpinCo, which holds McKesson’s interest in Change Healthcare LLC (“Change Healthcare”), is part of McKesson’s agreement with Change Healthcare Inc. (NASDAQ:CHNG) (“Change”) to merge SpinCo with and into Change.
