Fund Description: ProShares MSCI EAFE Dividend Growers ETF is an exchange-traded index fund or Index ETF which is a separate investment portfolio of the ProShares Trust, an open-end investment management company. INVESTMENT OBJECTIVE: The ProShares MSCI EAFE Dividend Growers ETF seeks investment results, before fees and expenses, that track the performance of the MSCI EAFE Dividend Masters Index. INDEX DESCRIPTION: The MSCI EAFE Dividend Masters Index contains a minimum of 40 stocks, which are equally weighted. No single sector is allowed to comprise more than 30% of the Index weight, and no single country is allowed to comprise more than 50% of the Index weight. If there are fewer than 40 stocks with at least 10 consecutive years of dividend growth, or if sector or country caps are breached, the Index will include companies with shorter dividend growth histories. The Index is rebalanced each February, May, August and November, with an annual reconstitution during the November rebalance. The Index, constructed and maintained by MSCI, targets companies that are currently members of the MSCI EAFE Index and have increased dividend payments each year for at least 10 years. In order to be included in the Index, companies must first qualify for inclusion in MSCI EAFE Index. MSCI EAFE Index includes 85% of free float-adjusted, market capitalization in each industry group in developed market countries, excluding the U.S. and Canada. MSCI determines whether a country is a developed market country based on several criteria listed in the prospectus. FUND STRATEGY: A passive investment strategy is used that is designed to track the performance of the Index. The Fund attempts to track the performance of the Index by investing all, or substantially all, of its assets in securities that make up the Index, holding each security in approximately the same proportion as its weighting in the Index. To the extent that regulatory constraints restrict the Fund’s ability to hold securities or obtain exposure in these proportions, the Fund may gain exposure to only a representative sample of the securities in the Index or may overweight or underweight securities of the Index in relation to their composition in the Index or may invest in securities not contained in the Index, with the intent of obtaining exposure with aggregate characteristics similar to the Index. Under normal circumstances, the Fund will invest at least 80% of its total assets in component securities. The Fund seeks to remain fully invested at all times in securities that, in combination, provide exposure to the Index without regard to market conditions, trends or direction. FUND MANAGEMENT: ProShare Advisors serves as the investment adviser to the Fund.
Notes: Dec. 13, 2016 -- ProShares, a premier provider of ETFs, today announced that it will transfer the listing of this ETF and two other ProShares ETFs from the NYSE Arca to the Bats Exchange on or about Dec. 29, 2016.
