Notes: October 18, 2019 -- Steuben Trust Corporation (“Steuben”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Community Bank System, Inc. (“Community Bank System”) providing for the acquisition of Steuben by Community Bank System. Steuben is holding a special meeting of shareholders on March 3, 2020, at 3:00 p.m., Eastern time, at Steuben Trust Corporation, One Steuben Square, Hornell, New York, 14843, for its shareholders of record on January 8, 2020, to vote on the proposals necessary to complete the merger. If Steuben’s shareholders adopt the Merger Agreement and the merger is subsequently completed, Steuben will merge with and into Community Bank System (the “Merger”), with Community Bank System continuing as the surviving company.
