FUND DESCRIPTION: Corporate High Yield Fund II is a diversified, closed-end management investment company that seeks to provide shareholders with as high a level of current income as is consistent with reasonable risk, as determined by the Fund's investment adviser, by investing principally in fixed income securities which are rated in the lower rating categories of the established rating services (Baa or lower by Moody's Investors Service, Inc. or BBB or lower by Standard & Poor's Corporation) or are unrated securities of comparable quality. The Fund has entered into an Investment Advisory Agreement with Fund Asset Management, L.P. (FAM). The general partner of FAM is Princeton Services, Inc., an indirect, wholly-owned subsidiary of Merrill Lynch & Co., Inc., which is the limited partner.
