QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets Holdings Inc., TARGETS Trust XIX, TARgeted Growth Enhanced Terms Securities (TARGETS) due 11/15/2006, issued at $10 per TARGETS, with the maturity payment based on market price of Time Warner, Inc. (NYSE: TWX) common stock. The TARGETS will pay cash distributions of $0.20000 ($0.12444 of 2/15/04) quarterly (8%) on 2/15, 5/15, 8/15 & 11/15/04 to holders of record one business day prior to the payment date. At maturity the holder will receive the maturity payment which will consist of the $10 principal amount and the stock return payment is the compounded monthly returned based on the market price of Time Warner common stock (starting value $17.53) which may be positive, zero or negative. The stock return payment has an appreciation cap so that the capped return for any monthly reset period will not be greater than a 5% increase or less than a 10% decrease for each monthly period and is subject to monthly automatic resets on the 16th of each month.
