QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Medium-Term Notes, Series C, Senior Fixed Rate Notes, Redeemable BRoad InDex Guarded Equity-linked Securities (BRIDGES), due 3/30/2009, based on the average value at six specified dates of a basket of the common stock of ten companies (ADP, AIG, BRK.B, XOM, FRE, FNM, JNJ, MRK, PFE & UPS), and issued in $10 denominations. The BRIDGES pay no interest. At maturity the BRIDGES will pay the greater of the $10 principal amount or the final average value of the basket of securities. The final average value of the index is the average of the ten stocks on 11/30/04, 11/30/05, 11/30/06, 11/30/07, 11/30/08 and 3/26/09. The BRIDGES are senior unsecured debt securities of Morgan Stanley and will rank equally with all other senior unsecured debt of the company.
