Sept. 05, 2019 -- Global investment firm The Carlyle Group L.P. priced its offering of $425 million of 3.500% senior notes due 2029 of Carlyle Finance Subsidiary L.L.C., its indirect subsidiary. The notes will be fully and unconditionally guaranteed by The Carlyle Group L.P. and its indirect subsidiaries Carlyle Holdings I L.P., Carlyle Holdings II L.P. and Carlyle Holdings III L.P. Carlyle intends to use the net proceeds from the sale of the notes to redeem all of the outstanding 5.875% Series A Preferred Units of The Carlyle Group L.P. and the remaining proceeds, if any, will be used for general corporate purposes. Following the pricing of the offering, Carlyle issued a conditional redemption notice pursuant to the tax redemption provisions of the Preferred Units to redeem them in full on October 7, 2019 at a redemption price per unit of $25.339757, which is equal to $25.25 per Preferred Unit plus declared and unpaid distributions to, but excluding, the redemption date. Redemption of the Preferred Units is subject to a financing condition that the successful closing of the offering would satisfy.

QUANTUMONLINE.COM SECURITY DESCRIPTION: Carlyle Group L.P., 5.875% Series A Non-Cumulative Preferred Units, liquidation preference $25 per unit, redeemable at the issuer's option on or after 9/15/2022 at $25 per unit plus declared and unpaid dividends, and with no stated maturity. Non-Cumulative distributions of 5.875% per annum ($1.46875 per annum or $0.36719 per quarter) will be paid quarterly on 3/15, 6/15, 9/15 & 12/15 to holders of record on the record date that will be 3/1, 6/1, 9/1 & 12/1 respectively (NOTE: the ex-dividend date is one business day prior to the record date). The dividends are non-cumulative and if the board of directors does not declare a dividend or the company fails to pay a dividend declared by the board for any quarterly dividend period, the holder will not be entitled to receive any dividend for that quarterly period and the undeclared or unpaid dividend will not accumulate. If a Change of Control Event or a Tax Redemption Event occurs prior to 9/15/2022 the issuer may redeem the Units at a price of $25.25 per Unit plus declared and unpaid distributions. If a Rating Agency Event occurs prior to 9/15/2022 the issuer may redeem the Units at a price of $25.50 per Unit plus declared and unpaid distributions (see prospectus for further information). If a Change of Control Event occurs (whether before, on or after 9/15/2022 and the issuer does not give notice prior to the 31st day following the Change of Control Event to redeem all of the outstanding Series A Preferred Units, the distribution rate per annum on the Series A Preferred Units will increase by 5.00%, beginning on the 31st day following such Change of Control Event (see prospectus for further information). Holders of the Preferred Units will receive specific tax information from the company, including a Schedule K-1 which generally would be expected to provide a single income item equal to the preferred return (see page S-15 of the prospectus for details). This security was rated BBB- by S&P at the date of its IPO. In regard to the payment of dividends and upon liquidation, the preferred shares rank junior to the company's senior debt, equally with other preferreds of the company, and senior to the common shares of the company.
