BUSINESS: UBS ETRACS S&P 500 Gold Hedged Index ETN due 1/30/2040 are senior unsecured debt securities issued by UBS AG who is offering and selling the Medium-Term Notes, Series A of Exchange Traded Access Securities (ETRACS). INVESTMENT OBJECTIVE: The UBS ETRACS S&P 500 Gold Hedged Index ETN is designed to track the performance of the S&P 500 Gold Hedged Index, less investor fees. INDEX DESCRIPTION: The S&P 500 Gold Hedged Index seeks to simulate the combined returns of investing equal dollar amounts in the S&P 500 Total Return Index and long positions in near-term exchange-traded COMEX gold futures contracts, and is rebalanced monthly. The ETN is designed to provide exposure to U.S. large-cap equities, as represented by the S&P 500 Total Return Index, along with a potential hedge against periodic declines in the value of the U.S. dollar, as expressed in the corresponding increases in the price of gold. RETURNS AND MATURITY: The return on the ETRACS ETNs, which may be positive or negative, is directly linked to the performance of the Index, which is based on the return on the S&P 500 Total Return Index and exchange-traded gold futures contracts, and which, in turn, is affected by a variety of market and economic factors, interest rates in
the markets and economic, financial, political, regulatory, judicial or other events that affect the markets generally. On the Maturity Date, the Redemption Date, the Call Settlement Date or the Early Termination Event Settlement Date, as the case may be, you will receive a cash payment per Security in an amount equal to: ($25.00 × Index Performance Ratio) minus Fee Amount. REDEMPTION AND FEES: You may elect to require UBS to redeem your Securities, in whole or in part, prior to the Maturity Date, January 30, 2040, on any Trading Day commencing on January 29, 2010 through and including the final Redemption Date, subject to a minimum redemption amount of at least 50,000 Securities. If you redeem your Securities, you will receive a cash payment equal to the Redemption Amount, which will be determined on the applicable Valuation Date and paid on the applicable Redemption Date. You must comply with the redemption procedures in order to redeem your Securities. Fee Amount is 0.85% per annum accrued on a daily basis.
