The holder will receive no payments prior to maturity. At the maturity date of 11/03/2005 the holder will receive a minimum cash payment of the greater of the $1,000 principal amount or $1000 plus an supplemental payment of an additional 100% of the principal amount less the sum of all negative monthly returns in the Nasdaq-100 Index (-10% maximum per month) over the 42-month period (initial value 1,277.07).
