November 9, 2023 -- Ozon Holdings PLC, announces that today it filed a Form 15F with the U.S. Securities and Exchange Commission (the “SEC”) for purposes of terminating the registration of its ordinary shares and American Depositary Shares (the “ADSs”), each representing one ordinary share, and its reporting obligations under Sections 13(a) and Section 15(d) of the U.S. Securities Exchange Act of 1934, as amended (the “Exchange Act”). As of today, all the Company’s reporting obligations under the Exchange Act are suspended, unless the Form 15F is subsequently withdrawn or denied.
Deregistration with the SEC and termination of the Company’s reporting obligations under the Exchange Act (the “Deregistration”) are expected to become effective on 7 February, 2024 or within a shorter period as the SEC may determine. March 9, 2022 -- Ozon Holdings PLC (NASDAQ and MOEX: “OZON”, thereafter referred to as “we”, “us”, “our”, “Ozon” or the “Company”), a leading Russian e-commerce platform, provides further update on the potential impact of the continued suspension of trading of the Company’s American Depositary Shares, each representing one ordinary share of the Company (“ADSs”), on the NASDAQ Global Select Market (“NASDAQ”) on its $750 million 1.875 per cent. senior unsecured convertible bonds due 2026 (“Bonds”), issued by the group’s Cypriot holding company, Ozon Holdings PLC.
