QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, 0.5% Capital Protected Notes due 6/30/2011 based on the value of the S&P 500 Index, initial value 1.200.73 as of 6/23/2005, issued at $10.00 per note. The notes do not provide for early redemption. Distributions of 0.50% ($0.05) per annum are paid semiannually on 6/30 & 12/30 to holders of record 15 calendar days prior to the payment date. At the maturity date of 6/30/2011 the holder will receive a minimum cash payment of $10.00 plus an supplemental redemption amount. The supplemental redemption amount will be based on the AVERAGE returns of the S&P 500 Index on 6/30/06, 6/30/07, 6/30/08, 6/30/09, 6/30/10 and 6/28/2011 and will not be less than zero. The supplemental redemption amount will be calculated as $10 times the final average index value minus the initial index value divided by the initial index value. The notes are subject to original issue discount (OID) accruals as specified on page PS-27 of the prospectus.
