QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Global Medium-Term Notes, Series C, Senior Notes, Market Participation Securities (MPS) with Minimum Return Protection, due 12/30/2010, linked to the value of the S&P 500 Index and issued in $1000 denominations. The MPS pay no interest. At maturity the MPS will pay the greater of the minimum payment amount of $1200 (a 2.54% yield to maturity) or the index-linked payment. The index-linked payment will be based on the product of the monthly performance amounts of the S&P 500 Index for the 87 monthly valuation periods during the term of the MPS times $1000 and is subject to a maximum monthly increase of 5% per quarter. The initial value of the S&P 500 Index is 1036.30 as of 9/19/2003. The monthly valuation dates will be the 30th of each month during the term of the notes and the final valuation date of 12/28/2010. The MPS are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
