QUANTUMONLINE.COM SECURITY DESCRIPTION: Morgan Stanley, Global Medium-Term Notes, Series C, Senior Fixed Rate Notes, Performance Leveraged Upside Securities (PLUS) due 6/30/2004, issued at $10 per PLUS, mandatorily exchangeable at maturity for an amount payable in U.S. dollars based on the value of the S&P 500 Index (initial value 931.87 on 5/22/2003). The PLUS pay no interest, are not callable prior to maturity, and do not guarantee any return of principal at maturity. At maturity, if the value of the S&P 500 Index exceeds the initial value, the PLUS will pay a cash payment equal to $10 plus a supplimental payment of $10 times 300% of the increase in the final Index value, subject to a maximum payment of $11.50 (115% of the issue price).
