BUSINESS: UBS ETRACS Wells Fargo MLP Index due October 29, 2040 are senior unsecured debt securities issued by UBS AG who is offering and selling the Medium-Term Notes, Series A of Exchange Traded Access Securities (ETRACS). INVESTMENT OBJECTIVE: The UBS ETRACS Wells Fargo MLP Index is designed to track an investment in the Wells Fargo Master Limited Partnership Index and pays a variable quarterly coupon linked to the cash distributions associated with the underlying MLP constituents, less investor fees. INDEX DESCRIPTION: The Wells Fargo Master Limited Partnership Index is a float adjusted, capitalization weighted Index that seeks to measure the performance of all energy master limited partnerships (MLP) listed on the New York Stock Exchange or NASDAQ that satisfy market capitalization (at least $200 million at the time of inclusion) and other eligibility requirements. RETURNS AND MATURITY: For each Security, unless earlier redeemed or called, you will receive at maturity a cash payment equal to (a) the product of (i) the Principal Amount and (ii) the Index Performance Ratio as of the last Index Business Day in the Final Measurement Period plus (b) the final Coupon Amount minus (c) the Accrued Tracking Fee as of the last Index Business Day in the Final Measurement Period, plus (d) the Stub Reference Distribution Amount as of the last Index Business Day in the Final Measurement Period, if any. We refer to this cash payment as the Cash Settlement Amount. REDEMPTION AND FEES: You may elect to require UBS to redeem your Securities, in whole or in part, once a week prior to the Maturity Date commencing on November 17, 2010 through and including October 17, 2040, subject to a minimum redemption amount of at least 50,000 Securities. If you redeem your Securities, you will receive a cash payment equal to the Redemption Amount. You must comply with the redemption procedures in order to redeem your Securities.
