BUSINESS: UBS ETRACS Alerian Natural Gas MLP Index due 7/9/2040 are senior unsecured debt securities issued by UBS AG who is offering and selling the Medium-Term Notes, Series A of Exchange Traded Access Securities (ETRACS). INVESTMENT OBJECTIVE: The UBS ETRACS Alerian Natural Gas MLP Index is designed to track an investment in the Alerian Natural Gas MLP Index and pay a variable quarterly coupon linked to the cash distributions associated with the underlying MLP constituents, less investor fees. INDEX DESCRIPTION: The Alerian Natural Gas MLP Index is an equal-weighted composite of the 15 largest natural gas infrastructure Master Limited Partnerships by market capitalization. The Index, whose constituents earn the majority of their cash flow from the transportation, storage, and processing of natural gas and natural gas liquids, provides investors with a benchmark for the infrastructure component of the natural gas industry. RETURNS AND MATURITY: The return on the Securities is linked to the performance of the Alerian Natural Gas MLP Index. At maturity, you will receive a cash payment equal to (a) the product of (i) the Principal Amount and (ii) the Index Performance Ratio as of the last Index Business Day in the Final Measurement Period plus (b) the final Coupon Amount minus (c) the Accrued Tracking Fee as of the last Index Business Day in the Final Measurement Period, plus (d) the Stub Reference Distribution Amount as of the last Index Business Day in the Final Measurement Period, if any. We refer to this cash payment as the Cash Settlement Amount. REDEMPTION AND FEES: You may elect to require UBS to redeem your Securities, in whole or in part, on any Business Day prior to the Maturity Date commencing on July 26, 2010 through and including the final Redemption Date, subject to a minimum redemption amount of at least 50,000 Securities. If you redeem your Securities, you will receive a cash payment equal to the Redemption Amount. You must comply with the redemption procedures in order to redeem your Securities.
