QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, 0.3% Capital Protected Notes due 9/30/2008 based on the value of a basket of Three Indices, issued at $10.00 per note. The notes do not provide for early redemption. The three associated indices and their initial values as of 3/23/2005 are the Dow Jones EURO STOXX 50 Index (3,036.85), the S&P 500 Index (1,172.53) and the Nikkei 225 Index (11,739.12). Distributions of 0.3% ($0.03) per annum are paid semiannually on 3/30 & 9/30 to holders of record 15 calendar days prior to the payment date. At the maturity date of 9/30/2008 the holder will receive a cash payment of $10.00 plus an supplemental redemption amount. The supplemental redemption amount will be based on the AVERAGE returns of the basket of three indices on 9/30/05, 9/30/06, 9/30/07, and 9/30/2008.
