Securities, price to the public $25 per certificate. The underlying securities are the 6.15% Directly-Issued Subordinated Capital Securities due 2/15/2037 issued by the Ambac Financial Group Inc. (NYSE: ABK). The certificates pay a fixed rate of 6.70% ($1.675) per annum semi-annual distributions on the 2/15 & 8/15 to holders of record on the business day immediately preceding the payment date. The STRATS are callable on or after 8/15/2012 under the call warrents subject to the provisions described on page S-6 of the prospectus. The underlying securities are redeemable any time on 30 to 60 days notice which would result in the call of the certificates. Certificate ratings at the IPO of the certificates were A+ by S&P. (NYSE: ABK) announced today that it has filed for a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of New York. The Company will continue to operate in the ordinary course of business as "debtor-in-possession" under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code and the orders of the Bankruptcy Court. ____________ From the form 8-K filed with the SEC on 8/21/2009 -- On July 27, 2009, the Underlying Issuer issued a public news release stating that, in order to preserve cash at Ambac Financial Group, Inc., it would discontinue paying the semi-annual interest on its directly-issued subordinated capital securities (DISCs), including the Underlying Securities, beginning August 1, 2009. Consistent with the public announcement, the Underlying Issuer did not make the scheduled interest payment to the Trust in respect of the Underlying Securities on August 17, 2009. Consequently, the Trust did not make any interest payment in respect of the STRATS Certificates on August 17, 2009. Under the terms of the Underlying Securities, the Underlying Issuer may elect to defer payments of interest on the Underlying Securities for a period of up to 10 years. Under the terms of the STRATS Certificates, if payments of interest on the Underlying Securities are deferred, then distributions of interest will not be payable on the STRATS Certificates during the deferral period.
