BUSINESS: UBS ETRACS CMCI Food Total Return ETN due 4/5/2038 are senior unsecured debt securities issued by UBS AG who is offering and selling the Medium-Term Notes, Series A of Exchange Traded Access Securities (ETRACS). INVESTMENT OBJECTIVE: The UBS ETRACS CMCI Food Total Return ETN is designed to track the performance of the UBS Bloomberg CMCI Food Index Total Return (the Index), less investor fees. INDEX DESCRIPTION: The UBS Bloomberg CMCI Food Index Total Return is a sub-index of the UBS Bloomberg Constant Maturity Commodity Index (CMCI) and measures the collateralized returns from a basket of 11 futures contracts from the agricultural and livestock sectors. The commodity futures contracts are diversified across three constant maturities from three months up to one year. The Index is a total return index. The overall return on the Index is generated by two components: (i) uncollateralized returns on the futures contracts comprising the Index and (ii) a daily fixed-income return, which reflects the interest earned on a hypothetical 91-day Treasury Bill portfolio theoretically deposited as margin for hypothetical positions in the futures contracts comprising the Index. The Index is rebalanced monthly. RETURNS AND MATURITY: The return on the ETRACS ETNs, which may be positive or negative, is directly linked to the performance of the Index, which is based on a variety of market and economic factors, interest rates in the markets and economic, financial, political, regulatory, judicial or other events that affect the markets generally. The Maturity Date is April 5, 2038. On the Maturity Date, the Redemption Date or the Call Settlement Date, as the case may be, you will receive a cash payment per Security in an amount equal to: ($25.00 × Index Performance Ratio) minus the Fee Amount. REDEMPTION AND FEES: You may elect to require UBS to redeem your Securities, in whole or in part, prior to the Maturity Date on any Trading Day commencing on April 28, 2008 through and including the final Redemption Date, subject to a minimum redemption amount of at least 50,000 Securities. If you redeem your Securities, you will receive a cash payment equal to the Redemption Amount, which will be determined on the applicable Valuation Date and paid on the applicable Redemption Date. You must comply with the redemption procedures in order to redeem your securities. Fee Amount is 0.65% per annum accrued on a daily basis.
