QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Exchangeable Notes due 12/30/2008 exchangeable for shares of common stock in a basket of three stocks consisting of Honeywell Intl Inc. (40%), ITT Industries Inc. (20%) and SPX Corp. (40%), issued in $1000 denominations at an issue price of $1,150 per note. The notes will pay no interest. The notes are exchangeable any time at the holder's option for the number of shares of each basket stock equal to its exchange ratio or the cash equivalent, at the issuer's option. The notes are callable for cash on or after 12/30/2006 at the issuer's option at the greater $1,000 or the number of shares of each basket stock equal to its exchange ratio, or the cash value of those shares. At the maturity date of 12/30/2008, the holder will receive $1000 in cash. The notes are senior unsecured debt securities of Morgan Stanley and rank equally with their senior unsecured obligations.
