QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Global Medium-Term Notes, Series C, Senior Notes, Redeemable BRoad InDex Guarded Equity-linked Securities (BRIDGES), due 6/15/2010, based on the average value (at four different dates) of a basket of the common stock of 15 Oil Industry companies, and issued in $10 denominations. The BRIDGES pay no interest. At maturity the BRIDGES will pay the greater of the $10 principal amount or the final average value of the basket of securities. The final average value of the index is the arithmetic average of the 15 stocks on 6/15/2007, 6/15/2008, 6/15/2009 and 6/15 2010. The basket stocks are the common stock of Amerada Hess Corporation, Baker Hughes Incorporated, BP p.l.c., ChevronTexaco Corporation, ConocoPhillips, Exxon Mobil Corporation, Halliburton Company, Kerr-McGee Corporation, Marathon Oil Corporation, Occidental Petroleum Corporation, Repsol YPF, S.A., Royal Dutch Petroleum Company, Schlumberger Limited, TOTAL S.A. and Unocal Corporation. The notes are senior unsecured debt securities of Morgan Stanley and will rank equally with all other senior unsecured debt of the company.
