QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley Protected Absolute Return Barrier Notes due 7/20/2008, based on the value of the S&P 500 Index and issued at $10 per note. The notes pay no interest and are not callable prior to maturity. At maturity, if the value of the S&P 500 Index has remained within the specified index range, the notes will pay a cash payment equal to a minimum of $10 plus a positive supplemental redemption amount of $10 times the absolute return of the index on 7/17/2008 (whether positive or negative). If the value of the index at any time on any day between 1/25/2007 to 7/17/2008 has been outside of the specified range, the supplemental redemption will be zero and the notes will pay only the $10 principal amount. The initial value of the Index is 1,440.13 on 1/24/2007 and the specified range of the index is 81% to 119% of the initial index value. The appreciation potential of the notes is limited by the index range to a maximum payment at maturity of $11.90 or 119% of the principal amount.
