April 12, 2018 -- Aegon announces that it exercises its right to redeem the USD 525 million 8% non-cumulative subordinated notes. The redemption of these grandfathered Tier 2 securities will be effective May 15, 2018, when the aggregate principal amount of USD 525 million will be repaid together with any accrued and unpaid interest. The securities (ISIN code: US007924608, CUSIP code 007924608) are currently listed on the New York Stock Exchange (symbol AEK). The listing will be terminated following the redemption of the securities.

QUANTUMONLINE.COM SECURITY DESCRIPTION: AEGON N.V., 8.00% Non-Cumulative Subordinated Notes due 2/15/2042, issued in $25 denominations, redeemable at the issuer's option on or after 8/15/2017 at $25 per share plus accrued and unpaid interest, and maturing 2/15/2042. The notes are possibly subject to an early call as a result of the occurrence of a regulatory disqualification event (see the prospectus for details). Non-cumulative distributions of 8.00% ($2.00) per annum are to be paid quarterly on 2/15, 5/15, 8/15 & 11/15 to holders of record on the record date which will be 2/1, 5/1, 8/1 & 11/1 respectively (NOTE: the ex-dividend date is at least 2 business days prior to the record date). The distributions are non-cumulative and if the board of directors does not declare a distribution or the company fails to pay a distribution declared by the board for any quarterly dividend period, the holder will not be entitled to receive any distribution for that quarterly period and the undeclared or unpaid distribution will not accumulate. Distributions paid by these debt securities are interest and as such are NOT eligible for the preferential 15% to 20% tax rate on dividends and are also NOT eligible for the dividend received deduction for corporate holders. Units are expected to trade flat, which means accrued interest will be reflected in the trading price and the purchasers will not pay and the sellers will not receive any accrued and unpaid interest. The Notes are unsecured, subordinated obligations of the company and will rank below the claims of their Senior Creditors, but above all of their Junior Securities (which includes their existing and future capital securities and all classes of their share capital) and Junior Guarantees.
