Notes: July 15, 2016 -- Shareholders of Qihoo 360 Technology Co. Ltd. (QIHU) voted on Wednesday, March 30, 2016, and approved a proposed Merger between QIHU and Tianjin Qixin Zhicheng Technology Co., Ltd., a wholly owned subsidiary of VI Cayman Financing Co. Ltd., a wholly owned subsidiary of Tianjin Qixin Tongda Technology Co., Ltd. Pursuant to the terms of the Merger, each American depositary share (ADS) of QIHU outstanding immediately prior to the consummation of the Merger will be
converted into the right to receive $76.95 cash, ($77.00 – $0.05 ADS Cancellation Fee), less withholdings, if any, without interest, per QIHU ADS. The Merger became effective today, Friday, July 15, 2016.
