(CST) voted on Wednesday, November 16, 2016, to approve a proposed Merger between CST and Ultra Acquisition Corp., an indirect wholly owned subsidiary of Circle K Stores Inc. Pursuant to the terms of the Merger, each share of CST Common Stock outstanding immediately prior to the consummation of the Merger will be converted into the right to receive $48.53 cash, without interest, per CST share. The Merger is expected to become effective
on a date to be announced.
