QUANTUMONLINE.COM SECURITY DESCRIPTION:  Wells Fargo & Co., Basket-Linked Notes, due 10/09/2008, linked to a basket of 21 publicly traded common stocks, and issued in $1000 denominations. The notes are not redeemable prior to maturity. The notes pay distributions of 1% ($10) per annum annually on July 15th of each year. At the maturity date of 10/09/2008, if the value of the basket of stocks has increased or has decreased by less than 25%, the notes will pay $1000 per note. If the value of the basket has decreased by more than 25%, the notes will pay less, and possibly conserably less than the $1000 principal amount. If the AVERAGE value of the basket has increased, the notes will pay an additional amount based on the AVERAGE increase in the basket of stocks. The additional maturity amount will be based on the arithmetic AVERAGE closing levels of the basket of 21 common stock on the 63 monthly dates during the term of the notes. The Notes are senior unsecured debt securities of Wells Fargo & Co. and will rank equally with all existing and future unsecured and unsubordinated indebtedness of the company.
