The securities pay 11% ($110.00) per annum distributions semi-annually on 8/27/2003 & 2/27/2004. Each $1000 security has 30.479 underlying shares of Citigroup common stock based on the initial price of $32.81 on 2/25/2003. At maturity, if the price of Citigroup shares is at or above the initial price, the holder will receive $1000 in cash while if the price of Citigroup shares is below the initial price at maturity the holder will receive the underlying 30.479 shares of Citigroup common stock.
