QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Funding Inc., PACERS (Premium MAndatory Callable Equity-Linked SecuRitieS) based on the iShares MSCI Brazil Index Fund, issued at $10.00 per PACERS, and maturing 7/30/2008. Holders of the PACERS will receive no payments prior to maturity. The PACERS are callable at the issuer's option at $10 per PACERS plus a mandatory call premium of $0.74, $1.48, $2.22 and $2.96 respectively if the closing trading price of the fund during the three day trading periods starting on 1/23/2007, 7/23/2007, 1/23/2008 and 7/23/2008 is greater than or equal to the initial share price. The initial share price is $38.71 as of 7/25/2006. If the PACERS are not called, at the maturity date the holder will receive either the number of underlying shares of the fund equal to the exchange ratio of 0.25833 ($10 divided by the initial share price times the final share price if the trading price of the underlying shares on the third day before maturity is less than or equal to $25.16 (65% of the initial value), or $10 in cash. The PACERS are not principal protected and at maturity the holder could receive an amount that is worth less, and possibly significantly less, than the issue price of the PACERS.
