QUANTUMONLINE.COM SECURITY DESCRIPTION:  Lehman Brothers Holdings Inc., Stock Upside Note Securities (SUNS) linked to the S&P 500 Index, due 9/27/2007, issued in $1000 denominations. The holder will receive no payments prior to maturity. At the maturity date of 9/27/2007 the holder will receive $1,100 plus an equity bonus in cash if the final AVERAGE level of the Index exceeds the initial value of the Index (initial value 819.29 as of 9/24/2002). The final average index level will equal the arithmetic average of the closing index level of the Index on the 24th of each month over the 60 month term of the notes. The equity bonus will be 70% of the final average closing index level minus the initial index level divided by the initial index level - 10%. The SUNS are senior unsecured debt securities of Lehman Brotheres Holdings and will rank equally with all of their other unsecured debt.
