QUANTUMONLINE.COM SECURITY DESCRIPTION: Lehman Brothers Holdings Inc., Prudential Research Universe Diversified Equity Notes (PRUDENTS) due 12/29/2004 linked to a Basket of 20 Publicly Traded Common Stocks, and issued in $1000 denominations. The PRUDENTS pay no interest or other payments prior to maturity. At maturity the BRIDGES will pay the greater of the $1000 principal amount or the alternate redemption amount based on the final AVERAGE value of the basket of securities. The final average value of the basket of stocks is the arithmetic average of the 20 stocks on the 18 quarterly dates during the term of the securities. The quarterly valuation dates are 3/26, 6/26, 9/26 & 12/26 of each year. The PRUDENTS are senior unsecured debt securities of Lehman Brothers Holdings and will rank equally with all other unsecured debt of the company.
