QUANTUMONLINE.COM SECURITY DESCRIPTION:  Salomon Smith Barney Holdings Inc., now Citigroup Global Markets Holdings Inc., Callable Principal-Protected Equity Linked Notes, principal amount $10.00 per unit, based on the S&P 500 Index, due 6/30/2006. The notes are callable at the issuer's option at scheduled prices of between $16.00 on 2/26/02 to $22.00 by 2/26/05. The holders will receive no payments prior to maturity. The maturity payment will be based on the change in the S&P 500 Index reduced by an annual adjustement factor of 1.625% (a total of 11.34% at maturity). At maturity the holder will receive the $10.00 principal amount plus the supplemental redemption amount based on the change in the S&P 500 index less the annual adjustment factor which will not be less than zero.
