FUND DESCRIPTION:  Neuberger Berman Dividend Advantage Fund Inc. is an exchange-traded closed-end fund or a closed-end ETF which is officially described in its prospectus as a non-diversified, closed-end management investment company. INVESTMENT OBJECTIVE: The Fund's investment objective is total return, which is comprised of high current income, a portion of which may be qualified dividend income, and capital appreciation. FUND STRATEGY: Under normal market conditions, the Fund will invest at least 80% of its total assets in securities that pay dividends; will invest at least 80% of its total assets in a combination of (1) income-producing securities recommended by the Neuberger Berman, LLC Research Department that, at the time of investment, have a dividend yield greater than the average dividend yield of the S&P 500 Composite Stock Index and (2) income-producing common equity securities, preferred equity securities, securities convertible into equity securities and non-convertible debt securities issued by real estate companies (including real estate investment trusts); and may invest up to 20% of its total assets in other debt and equity securities and money market instruments. FUND MANAGEMENT: Neuberger Berman Management Inc., a Lehman Brothers Co. (NYSE: LEH), is the Fund's Investment adviser and administrator.

Notes:  In a press release issued before the market open on Wednesday, October 21, 2009, NB Dividend Advantage Fund (NYSEAmex: NDD) announced: 1. The Fund will close its stock transfer books as of the close of business on October 26, 2009; 2. Shares of NDD's common stock will then cease to trade on the NYSE Amex (formerly the American Stock Exchange); 3. Also, as of October 26, 2009, common stockholders proportionate interest in the assets of the Fund will be fixed and the common stock will no longer be transferable; 4. These stockholders, under the Fund's plan of liquidation and dissolution, will be entitled to receive liquidating distributions; 5. NDD expects to pay a liquidating distribution on or about October 29, 2009; 6. Should additional liquidating distributions be necessary, NDD will announce the expected dates of any such distributions;
