QUANTUMONLINE.COM SECURITY DESCRIPTION:  Lehman Brothers Holdings Inc., Stock Upside Note Securities (SUNS) linked to the Dow Jone Industrial Average, due 8/05/2007, issued in $1000 denominations. The holder will receive no payments prior to maturity. At the maturity date of 8/05/2007 the holder will receive a minimum of $1,125 plus the equity bonus which will not be less than zero. The equity bonus will be based on the sum of the twenty capped quarterly returns of the Dow Jones Industrial Average (initial value 8,736.59 as of 7/31/2002) less 12.5%. The quarterly returns will be calculated as the ending index level minus the starting index level divided by the starting index level - capped at a maximum of 6% increase with no limits on declines of the index.
