QUANTUMONLINE.COM SECURITY DESCRIPTION: Lehman Brothers Holdings, Inc., Depositary Shares, each representing 1/100 of a share of Fixed/Adjustable Rate Cumulative Preferred Stock, Series E, stated value $50.00 per depositary share, redeemable at the issuer's option on or after 5/31/2005 at $50 per share plus accrued and unpaid dividends, with no stated maturity, and with distributions of 7.115% per annum until 5/31/2005 and at an adjustable rate after that date paid quarterly on 2/28, 5/31, 8/31 & 11/30 to holders of record on the 15th day of the month in which the payment is due. The adjustable rate after 5/31/2005 will be the highest of the Treasury Bill Rate, the Ten Year Constant Maturity Rate or the Thirty Year Constant Maturity Rate plus 1.15%, adjusted for each dividend period, with a minimum rate of 7.615% and a maximum of 13.615%. In regards to payment of dividends and upon liquidation, the preferred shares rank equally with other preferreds and senior to the common shares of the company.
