Morgan Chase & Co., Principal Protected Notes linked to the value of the S&P 500 Index (starting value 1108.36) due 9/30/2010 and issued at $1000 per note. The notes do not pay interest and do not provide for early redemption. At the maturity date of 9/30/2010 the holder will receive the greater of $1093.50 (a 1.5% annual return) or $1000 plus an additional amount based on the average of the closing values of the S&P 500 Index measured once per year on the six annual September 23rd observation dates over the term of the notes.
