QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Funding Inc., Strategic Market Access Notes, linked to the Citi U.S. Equity Model Index, due 5/25/2011, and issued at $10 per note. The notes will make no payments prior to maturity and make no guarantee of the return of principal at maturity. The notes are redeemable monthly at the holders option during the last five calendar days of each month in lots of 1,000 notes ($10,000 principal amount) at the net investment value minus a redemption fee of 0.25%. The net investment value of the notes is equal to $9.725 times the ending index value divided by the starting index value. The daily net investment value will be published on the AMEX under the symbol CKK.IV. The index must increase by 2.83% plus the redemption fee if applicable for the investor to receive an amount equal to their $10 investment. At the maturity date of 5/25/2011, if the notes have not been redeemed prior to maturity, the holder will receive a cash payment of equal to the net investment value of the notes determined on the third index business day prior to the maturity date. If the value of the index decreases, the maturity payment will be based on the percentage decrease in the Index. As a result, the holder may receive less, and possibly significantly less than the original offering price at maturity.
