QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Funding Inc., PACERS (Premium MAndatory Callable Equity-Linked SecuRitieS) based on the PHLX Oil Service Sector Index, issued at $10.00 per PACERS, and maturing 12/30/2008. Holders of the PACERS will receive no payments prior to maturity. The PACERS are callable at the issuer's option at $10 per PACERS plus a mandatory call premium if the closing trading price of the index during the three day trading periods starting on 12/20/2006, 12/17/2007 and 12/15/2008 is greater than or equal to the initial index value. The initial index value is 182.37 as of 12/19/2005. The mandatory call premium is 12% fixed return per year. If the PACERS are not called, at the maturity date the holder will receive either $10 in cash or an amount equal to the exchange ratio of 0.05483 ($10 divided by the initial index value) times the final index value if the value of the index at any time during the term of the PACERS is less than or equal to 136.78 (75% of the initial value). The PACERS are not principal protected and at maturity the holder could receive an amount that is worth less, and possibly significantly less, than the issue price of the PACERS.
