April 4, 2006 -- U.S. Bancorp announced today that notice of redemption was provided on April 3, 2006, to the holders of USB Capital III 7.75 percent Trust Preferred Securities (CUSIP 90335H-208). The Securities will be redeemed in full at a redemption price of 100 percent of the principal amount plus accrued and unpaid interest. On and after May 4, 2006, distributions on the Securities will no longer accrue, and all rights of the holders of the Securities, except the right to receive the redemption price plus distributions accrued to the redemption date, will cease. Payment will be made to holders of the Securities on May 4, 2006, only upon surrender of the 7.75 percent Trust Preferred Securities to Wilmington Trust Company for cancellation.

QUANTUMONLINE.COM SECURITY DESCRIPTION: USB Capital III, 7.75% Trust Preferred Securities, liquidation amount $25 per share, guaranteed by U.S. Bancorp (NYSE: USB), redeemable at the issuer's option on or after 5/04/2006 at $25 per share plus accrued and unpaid dividends, maturing 5/01/2031, distributions of 7.75% per annum are paid quarterly on 2/1, 5/1, 8/1 & 11/1 to holders of record one business day prior to the payment date. The company has the right, at any time, to defer interest payments for up to 20 consecutive quarters (but not beyond the maturity date). The trust's assets consist of the 7.75% Junior Subordinated Deferrable Interest Debentures due 5/01/2031 which were purchased from the company using the funds generated from the sale of the trust preferred securities.
