QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets, formerly Salomon Smith Barney Holdings Inc., Callable Principal-Protected Equity Linked Notes, principal amount $10.00 per unit, based on the TheStreet.com Internet Sector Index, due 5/30/2006. The holders will receive no payments prior to maturity. The notes are callable at the issuer's option at scheduled prices of between $17.50 on 5/28/02 to $25.00 by 5/28/05. The maturity payment will be based on the change in the TheStreet.com Internet Sector Index (starting value 550.30). At maturity the holder will receive the $10.00 principal amount plus the supplemental redemption amount based on the change in the TheStreet.com Internet Sector index less the annual adjustment factor which will not be less than -$1.00.
