QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets Holdings Inc., Stock Market Upturn Notes, linked to the Nasdaq-100 Index (starting value 1154.48 as of 5/16/2003) due 11/27/2006, issued at $1000 per note. The notes will not make any payment prior to maturity and do not provide for early redemption. At the maturity date of 11/27/2006, the holder will receive a cash payment of $1000 plus an index return amount which may be positive, zero or negative. If the ending value of the Index at maturity is greater than the starting value, the index return amount will be based on the percentage increase in the index, subject to a appreciation cap of 20% and a participation rate of 200% so that the maturity payment can not exceed $1400. If the value of the index at any time during the term of the notes is less than 577.24, the maturity payment will be based on the percentage decrease in the Index. If the value of the Index is never less than 577.24 during the term of the index but the ending value is less than the starting value, the index return will be zero and the maturity payment will be $1000.
