QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets Holdings Inc., Stock Market Upturn Notes, linked to the Dow Jones Industrial Average (starting value 10489.94 as of 1/31/2005) due 11/03/2006, issued at $10 per note. The notes will not make any payment prior to maturity and do not provide for early redemption. At the maturity date of 11/03/2006, the holder will receive a cash payment of $10 plus an index return amount which may be positive, zero or negative. If the ending value of the Index at maturity is greater than the starting value, the index return amount will be based on the percentage increase in the index, subject to a appreciation cap of 5.7% and a participation rate of 300% so that the maturity payment can not exceed $11.71. If the value of the index decreases, the maturity payment will be based on the percentage decrease in the Index. See page S-3 of the prospectus for further details on the maturity payment.
