QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Funding Inc., Stock Market Upturn Notes, linked to a U.S.-Europe-Japan Basket, due 2/4/2009, and issued at $10 per note. The basket indices and weighting are the Dow Jones Industrial Average (70%), the Dow Jones EURO STOXX 50 Index (15%), and the Nikkei 225 Index (15%). See page PS-8 of the prospectus for the starting values of the indices. The notes will make no payments prior to maturity, are not redeemable prior to maturity, and make no guarantee of the return of principal at maturity. At the maturity date of 2/4/2009, the holder will receive a cash payment of $10 plus a note return amount which may be positive, zero or negative. If the ending value of the Basket at maturity is greater than the starting value, the note return amount will be based on the percentage increase in the basket and an upside participation rate of 300% but subject to an appreciation cap of 19% so that the maturity payment can not exceed $11.90 per note. If the value of the index decreases, the maturity payment will be based on the percentage decrease in the Basket. The notes are not principal protected and at maturity the holder could receive an amount that is worth less, and possibly significantly less, than the issue price of the notes.
