QUANTUMONLINE.COM SECURITY DESCRIPTION:  Lehman Brothers Holdings Inc., Stock Upside Note Securities (SUNS) linked to the Dow Jone Global Titans 50 Index, due 2/09/2010, issued in $1000 denominations. The holder will receive no payments prior to maturity. At the maturity date of 2/09/2010 the holder will receive the greater of the $1,000 principal amount or the alternate redemption amount. The alternate redemption amount will be $1000 times the participation rate of 128% times the average closing index level minus the initial index level divided by the initial index level of the Dow Jones Global Titans 50 Index (initial value 193.81 as of 2/4/2005). The average index level will be the arithmetric average of the closing level of the index on February 4th of the five years starting on 2/4/2006 and ending on 2/4/2010.
