QUANTUMONLINE.COM SECURITY DESCRIPTION:  Lehman Brothers Holdings Inc., Stock Upside Note Securities (SUNS) linked to the S&P 500 Index, due 11/06/2009, issued in $1000 denominations. The holder will receive no payments prior to maturity. The SUNS are callable at the issuer's option on or after 11/06/2005 at 118% to 145% of the $1000 issue price as specified on page S-11 of the prospectus. At the maturity date of 11/06/2009 the holder will receive a minimum of the $1000 issue price plus an alternative redemption amount if the final level of the S&P 500 Index exceeds the initial value of the Index (initial value 1059.02 as of 11/03/2003). The final index level will be the closing S&P 500 index level on 11/03/2009. The alternative redemption amount will be $1000 times the final closing index level divided by the initial index level. The SUNS are senior unsecured debt securities of Lehman Brothers Holdings and will rank equally with all of their other unsecured debt.
