QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets Holdings Inc., 2% Principal Protected Notes based on the Nasdaq 100 Index, due 9/28/2009, issued at $10 per note. The notes do not provide for early redemption. Distributions of 2% ($0.20) per annum are paid semi-annually on 3/28 & 9/28 to holders of record on the fifth business day prior to the payment date. At the maturity date of 9/28/2009 the holder will receive a cash payment of $10 plus an interest distribution amount. The interest distribution amount will be based on the compunded value of the monthly returns of the Nasdaq 100 Index (starting value 1493.52 as of 6/23/2004), reset on the 23th of each month and subject to a monthly appreciation cap of 5.5%, but will not be less than zero. If the index return is less than or equal to the interest received percentage of 10.5% than the interest distribution amount will equal zero.
