BUSINESS: C-Tracks Series B ETNs (Exchange Traded Notes) linked to the Miller/Howard MLP Fundamental Index, are due on 7/13/2026, and are senior unsecured debt securities issued by Citigroup Inc. and do not offer principal protection. INVESTMENT OBJECTIVE: The investment performance of these ETNs are linked to the performance of the Miller/Howard MLP Fundamental Index less the investor fee. INDEX DESCRIPTION: The Index is designed to measure the performance of 25 energy master limited partnerships (“MLPs”) selected quarterly by a methodology that is based upon certain quantitative fundamental factors of publicly traded MLPs, including distribution growth, estimated capital expenditures and distribution coverage. The Index sponsor is Miller/Howard Strategic Indexes, LLC. RETURNS AND MATURITY: The ETNs do not pay any interest during their term. The return on the ETNs are directly linked to the performance of the Index. At maturity or upon early redemption you will receive a cash payment equal to the principal amount of your Securities times the index factor on the final valuation date times the fee factor on the final valuation date. The ETNs can be bought and sold on US stock markets to realize intermediate investment profits and losses. QUARTERLY PAYMENTS: On each quarterly coupon payment date, an amount in cash will equal the accrued distribution amount, which is based on the ordinary cash distributions that a hypothetical holder of Index constituents would have been entitled to receive in respect of the Index constituents during the relevant period, reduced by the accrued investor fee. FEES: The investor fee is equal to 0.85% per annum accrued on a daily basis. ETN CAUTIONS: Fluctuations in the market price of the ETNs versus the indicative value of the ETNs can affect the investment results. These ETNs are debt obligations of Citigroup Inc. and payments you are entitled to receive on these ETNs are subject to the ability of the issuer to pay their obligations. Notes: October 19, 2020 -- Citigroup Inc. (“Citigroup”) announced today that it will redeem at its option, and in full, C-Tracks ETNs on the Miller/Howard MLP Fundamental Index Series B CUSIP number 17324P859. The Issuer Redemption Valuation Period will consist of one observation day, which is expected to be October 30, 2020. Holders of the C-Tracks ETNs will receive a cash payment per ETN in an amount equal to the closing indicative value of the respective series of C-Tracks ETNs on that date. The cash payment upon early redemption is expected to be paid to investors on November 10, 2020
