QUANTUMONLINE.COM SECURITY DESCRIPTION: Lehman Brothers Holdings Inc., 5% YEELDS (Yield Enhanced Equity Linked Debt Securities) due 4/5/2008, performance linked to Apple Computer Inc. (Nasdaq: AAPL) common stock, and issued in $60.95 denominations. The YEELDS will make monthly coupon payments of 5% ($3.0475) per annum on the 5th day of each month to holders of record 15 calendar days prior to the payment date. At the maturity date of 4/5/2008, for each YEELDS the holder will receive the lesser of the alternative redemption amount, or $96.6058 (158.50% of the initial value). The alternative redemption amount will be $60.95 times the ending value of Apple Computer common stock on the valuation date of 3/31/2008 divided by the initial value of $60.95 of the stock. As a result, the holder may receive less, and possibly significantly less than the original offering price at maturity. See page PS-6 of the prospectus for hypothetical examples of the maturity payment. Lehman Brothers also has the option of paying the maturity payment in cash or common stock of Apple Computer.
