QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets Holdings Inc., Index Leading Stock Market Return Securities (Index LASERS) based on the Nikkei 225 Index due 6/19/2008. The Index LASERS pay no payments prior to maturity and are not redeemable prior to maturity. At the maturity date of 6/19/2008 the Index LASERS will make a maturity payment based on the value of the Nikkei 225 Index (starting value 11,641.72 as of 6/16/2004) at the third business day prior to the maturity date, which may be greater than, equal to or less than the initial $10.00 investment. If the ending value of the Nikkei 225 Index is greater than its starting value, the maturity payment will be equal to $10 times 127% of the index's percentage appreciation. If the ending value of the DJIA is less than its starting value and the index at any time during the term of the notes is less than or equal to 7,567.12 (65% of the starting value), the maturity payment will be less than the original $10 investment. In all other cases, the maturity payment will be $10.
