QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Funding Inc., Index LASERS (Index LeAding Stock Market Return Securities) based on the S&P 500 Index, due 12/6/2012, and issued at $10 per Index LASERS. The Index LASERS will make no payments prior to maturity, are not redeemable prior to maturity, and make no guarantee of the return of principal at maturity. If the value of the Index is greater than 663.74 (60% of its value on the pricing date) at all times during the term of the notes, at the maturity date the Index LASERS will make a maturity payment based on the greater of the change in the S&P 500 Index (starting value 1,106.24 as of 11/23/2009) on the valuation date of 12/3/2012, or 12% (4% per annum on a simple interest basis) of the principal amount of the Index LASERSs. If the value of the Index is less than or equal to 663.74 (60% of its value on the pricing date) at any time during the term of the notes, the maturity payment will be equal to $10 times the index percentage change (which could be negative). As a result, the maturity payment the holder would receive could be worth less, and possibly significantly less, than the issue price of the notes.
